Terms and Conditions
Plan5500 (the “Site,” “we,” “us,” or “our”) is operated by PGBDIC LLC, an Illinois limited liability company. These Terms and Conditions (the “Terms”) govern your access to and use of Plan5500 and its content, data, and features (collectively, the “Service”). Please read them carefully.
1. Acceptance of these Terms
By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. We may update these Terms from time to time; continued use after changes become effective constitutes acceptance of the updated Terms.
2. What the Service is — public Form 5500 data
The Service organizes and presents public U.S. Department of Labor (DOL) / Employee Benefits Security Administration (EBSA) Form 5500 filings, submitted by plan sponsors and their representatives through the federal EFAST2 system, and makes that public information easier to search and read. We present reported figures as filed. We do not create, audit, certify, or independently verify the underlying filings.
3. No professional advice
The Service is provided for general informational purposes only and does not constitute legal, tax, investment, accounting, actuarial, fiduciary, benefits, retirement-plan, compliance, or any other professional advice. Nothing on the Service is a recommendation to take or refrain from any action. You should not rely on the Service as a substitute for advice from a qualified professional who is familiar with your specific circumstances. Consult qualified professionals before making any legal, tax, investment, benefits, fiduciary, compliance, or business decision.
4. No professional relationship
Your use of the Service does not create any attorney-client, advisor-client, fiduciary, agency, or other professional or confidential relationship between you and PGBDIC LLC, Plan5500, or any of their owners, officers, employees, contractors, agents, or affiliates.
5. No affiliation with government or filers
Plan5500 is an independent project of PGBDIC LLC. It is not affiliated with, endorsed by, sponsored by, or authorized by the U.S. Department of Labor, EBSA, the Internal Revenue Service, the Pension Benefit Guaranty Corporation, or any other government agency, nor by any plan sponsor, employer, fiduciary, service provider, or other entity named in the filings. References to such entities are for identification of public records only.
6. No warranty on data accuracy or availability
The Service and all data are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. We do not warrant that the data is accurate, complete, current, timely, error-free, uninterrupted, or fit for any particular purpose. Filings may contain errors, omissions, restatements, or outdated information, and the Service reflects only the datasets and schedules that have been loaded. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
7. Your responsibility to verify
You are solely responsible for independently verifying any information before relying on it. Official Form 5500 records are available from the DOL / EBSA through the EFAST2 system and other government sources. Where a field is not present in the loaded dataset, the Service states that it is not reported in the loaded dataset; absence of a value is not a representation about the underlying plan.
8. Third-party and public-source data
The Service relies on third-party, public, government-sourced data and may link to third-party websites. We do not control and are not responsible for third-party data or sites, and a link does not imply endorsement. Your use of any third-party data or site is at your own risk and subject to that third party’s terms.
9. Permitted and prohibited use
You may use the Service for lawful, personal, and internal business research. You agree not to:
- scrape, crawl, harvest, or use automated means to extract data from the Service, except as expressly permitted in writing or via robots.txt;
- resell, redistribute, sublicense, or commercially exploit the Service or its compiled presentation without our prior written permission;
- overload, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure;
- use the Service to harass, defame, or harm any person or entity, or in violation of any law or third-party right;
- remove, obscure, or misrepresent any provenance, attribution, or notice.
The underlying Form 5500 filings are public records; these restrictions apply to the Service’s compiled, organized presentation, software, and design, not to the public records themselves.
10. Intellectual property
The Service’s organization, design, text, software, and presentation are owned by PGBDIC LLC or its licensors and are protected by intellectual-property laws. Except for the underlying public records, you receive no ownership or license rights other than the limited right to use the Service under these Terms.
11. Availability and changes
We may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice, and we may impose limits on certain features. We are not liable for any unavailability, modification, or discontinuation of the Service.
12. Limitation of liability
To the fullest extent permitted by law, in no event will PGBDIC LLC, Plan5500, or their owners, officers, employees, contractors, agents, affiliates, successors, or assigns (the “Protected Parties”) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your access to or use of (or inability to use) the Service or any data, whether based in contract, tort, statute, or otherwise, even if advised of the possibility of such damages. To the fullest extent permitted by law, the Protected Parties’ total aggregate liability for all claims relating to the Service will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Release
You release and forever discharge the Protected Parties from any and all claims, demands, and damages arising out of or related to: your use of or reliance on any public data or the Service; any errors, omissions, inaccuracies, or outdated information; any interruption or outage; any third-party links or data; your misuse of public filing data; and any decision you make based on the Service.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Protected Parties from and against any and all claims, demands, actions, investigations, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:
- your access to or use of the Service;
- your reliance on any data obtained through the Service;
- your violation of these Terms;
- your violation of any law or any third-party right;
- your misuse of public filing data;
- any submissions or communications you make, if any;
- any automated access, scraping, or other prohibited use; and
- any professional, financial, legal, tax, benefits, fiduciary, or business decision you make based on the Service.
We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
15. Governing law and venue
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or related to these Terms or the Service will be the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.
16. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted by law. These Terms, together with the Privacy Policy, are the entire agreement between you and PGBDIC LLC regarding the Service. Our failure to enforce any provision is not a waiver of it.
